1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and CoFoundex, Inc. ("CoFoundex," "we," "us," or "our") concerning your access to and use of the cofoundex.com website and related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility

You must be at least 18 years old to use our Service. By using the Service, you represent and warrant that you:

  • Are at least 18 years of age
  • Have the legal capacity to enter into these Terms
  • Are not prohibited from using the Service under applicable law
  • Will comply with these Terms and all applicable laws

3. Account Registration

3.1 Creating an Account

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access
  • Be responsible for all activities under your account

3.2 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for violations of these Terms or for any other reason at our sole discretion.

4. Acceptable Use

You agree NOT to:

5. User Content

5.1 Your Content

You retain ownership of all content you post, upload, or submit to the Service ("User Content"). By posting User Content, you grant CoFoundex a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, distribute, and display your User Content in connection with operating and providing the Service.

5.2 Content Responsibility

You are solely responsible for your User Content. You represent and warrant that:

  • You own or have the necessary rights to post your User Content
  • Your User Content does not violate any laws or third-party rights
  • Your User Content does not contain viruses or malicious code

5.3 Content Moderation

We reserve the right (but have no obligation) to monitor, review, and remove User Content that violates these Terms or is otherwise objectionable.

6. Subscriptions and Payments

6.1 Paid Subscriptions

Certain features of the Service require a paid subscription ("Pro Plan"). By subscribing, you agree to pay the fees specified at the time of purchase.

6.2 Billing

Subscriptions are billed in advance on a recurring basis (monthly or annually). You authorize us to charge your payment method on each billing cycle. Payments are non-refundable except as required by law.

6.3 Price Changes

We may change our pricing at any time. We will provide at least 30 days' notice of price increases. Your continued use of the Service after a price change constitutes acceptance of the new price.

6.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period. No refunds are provided for partial months or unused features.

7. Intellectual Property

7.1 Our IP

The Service, including its design, features, text, graphics, logos, and software, is owned by CoFoundex and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our IP without our written permission.

7.2 Trademarks

"CoFoundex" and our logo are trademarks of CoFoundex, Inc. You may not use our trademarks without our prior written consent.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not warrant that:

  • The Service will be uninterrupted, secure, or error-free
  • Defects will be corrected
  • The Service is free of viruses or harmful components
  • Results from using the Service will meet your requirements
  • You will find a suitable cofounder through the Service

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COFOUNDEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.

Our total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid to CoFoundex in the 12 months preceding the claim, or $100, whichever is greater.

10. Indemnification

You agree to indemnify, defend, and hold harmless CoFoundex and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your User Content

11. Dispute Resolution

11.1 Informal Resolution

Before filing a claim, you agree to contact us at info@cofoundex.com and attempt to resolve the dispute informally.

11.2 Governing Law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles.

11.3 Arbitration

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except for small claims court matters.

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and CoFoundex regarding the Service.
